Musat & Asociatii was selected by the Ministry of Economy, Trade and Business Environment to provide legal assistance in underwriting the public offering for the sale of 10% of the share capital in Nuclearelectrica on the Bucharest Stock Exchange. In the course of this project, Musat & Asociatii, alongside Hogan Lovells, will advise the consortium made up of SSIF Swisscapital (Syndicate Leader) and BT Securities, the listing process being scheduled for the first quarter of 2013.
“Continuing the privatization processes by selling stocks of shares always has a positive impact on the capital markets, driving the capital flow and encouraging the Romanian economy, in general. Together with a team of 10 lawyers, we will render legal services during all stages of the listing process, including drafting the legal due diligence report and the issue prospectus, structuring the transaction, as well as providing support throughout the entire initial offering process”, said Miruna Suciu, Partner Musat & Asociatii, the coordinator of the project team, but also of the Capital Markets department.
Musat & Asociatii has gained significant expertise in advising privatizations conducted on the capital market, by being involved in most projects carried out by the State authorities on the Bucharest Stock Exchange. Currently, Musat & Asociatii provides legal consultancy services for other major projects, such as the secondary offering of a 15% stock of Transgaz shares on the Bucharest Stock Exchange, scheduled for November, launching the initial public offering for the sale of 20% of Tarom, and respectively 10% of Hidroelectrica. This year, Musat & Asociatii was also involved in the secondary public offering for the sale of 15% of Transelectrica, a transaction successfully completed at the end of March.
