Cleopatra Leahu has a seniority of over 10 years with Muşat & Asociaţii, a period during which she acquired extensive legal experience in Energy & Natural Resources, including with regard to mineral concessions or services contracts (design, construction, drilling and well services) agreements, assisting various mining and oil & gas companies in complex acquisitions, financing and development of energy, infrastructure and PPP projects, also being a certified public procurement expert. Furthermore, Cleopatra is acknowledged as one of the most knowledgeable practitioners in environmental law, an area where she advised numerous clients, most of which multinationals carrying out investments in the energy and natural resources industry.
Throughout her career, Cleopatra represented a large portfolio of national and international companies in complex projects, the most recent of which are: assisting
Sterling Resources in negotiating and signing the interest transfer agreements in relation to various oil fields in the Black Sea, advising OZ Mineral Limited , a leading Australian mining company, in relation to the EUR 200,000,000 purchase offer for Cuprumin S.A., advising Petrofac Facilities Management Ltd., one of the world leaders in the field of oil and natural gas industry services, in the negotiation and implementation of a production improvement services agreement in relation to a series of mature oil deposits held by OMV Petrom, but also Eldorado Gold Corporation, during the cross-border acquisition of European Goldfields Limited, a developer-producer with significant gold deposits in Romania.
Silvia Sandu has been with Muşat & Asociaţii for more than 9 years. She assisted various clients in the pharma industry, in relation to specific regulatory and compliance matters concerning medicinal products and devices, the claw-back contribution, conducting clinical and non-interventional trials, medical services and patients’ rights, as well as issues relating to national health programs. Moreover, Silvia specializes in Corporate & Commercial and customs law, having advised a considerable portfolio of companies in connection with intricate import and export operations, final and suspensive customs regimes, but also identifying the optimal solutions for suspending and downsizing the amount of custom payables.
Among her most recent clients, Silvia counts major corporations active in the pharmaceuticals industry, such as Eli Lilly, Roche, Abbott, Servier, Novartis, Novo Nordisk or Astellas . She was also involved in prominent transactions in the field, such as advising the investment fund Mid Europa Partners throughout the purchase of the local subsidiary of Walmark , advising Abbott Laboratories, in restructuring its business in Romania, or representing BBraun in purchasing an important medical center.
Ileana Lucian began her career at Muşat & Asociaţii, more than 10 years ago. She specializes in labor law and provides assistance in all matters relating to corporate restructurings, collective bargaining agreements, voluntary retiring plans, transfer and takeover of business, negotiations with the trade unions, employee benefits. In addition, she is recognized for her in-depth experience and knowledge of Corporate and Commercial Law, but also in corporate restructurings.
Ileana advised international and domestic clients in relation to a multitude of issues referring to labor law, among which Electrolux Romania , in settling various employment conflicts with the trade union and negotiating the collective bargaining agreement, Amazon.com in harmonizing its internal policies with the legal provisions applicable in Romania, Va Tech Wabag in an employee transfer, negotiation and termination of the collective bargaining agreement as well as during the reorganizing procedure. Furthermore, Ileana assisted Gefco (one of the world’s ten leading companies active in the logistics industry) and Nitromak-Dnx Kimya Sanayii (an important explosive producer), in all corporate and labor law issues regarding the reorganization of its business in Romania.
